TERMS AND CONDITIONS OF SALE

1. Definitions

  • “Seller” means Sri Kavithaa Hardwares.
  • “Buyer” means the purchaser of Goods from the Seller.
  • “Goods” means all materials, products, and items supplied by the Seller.
  • “Order” means any purchase order or request accepted by the Seller.

2. Applicability

  • These Terms and Conditions shall apply to all quotations, orders, sales, and supplies of Goods by the Seller.
  • Placement of an order with the Seller constitutes full acceptance of these Terms and Conditions by the Buyer.

3. Pricing and Taxes

  • All prices are quoted in Indian Rupees (INR) and are subject to change without prior notice.
  • Goods and Services Tax (GST) and other applicable statutory levies shall be charged extra at prevailing rates.
  • Prices mentioned in catalogues, price lists, or communications are indicative and not binding unless confirmed in writing.

4. Orders and Acceptance

  • Orders shall be deemed confirmed only upon acceptance by the Seller.
  • The Seller reserves the right to accept or reject any order in whole or in part without assigning reasons.
  • Any request for modification or cancellation of an order shall be subject to the Seller’s written approval.

5. Payment Terms

  • Where credit facilities are extended, all invoices shall be paid in full within 21 (twenty-one) days from the invoice date.
  • Interest at the rate of 18% per annum shall be charged on all overdue amounts from the due date until realization.
  • The Seller reserves the right to suspend further supplies without notice in the event of overdue payments.

6. Delivery and Risk

  • Delivery schedules are estimates and not guaranteed.
  • The Seller shall not be liable for delays arising from transport, supplier constraints, or circumstances beyond reasonable control.
  • Risk in the Goods shall pass to the Buyer upon dispatch or handover to the carrier.

7. Inspection and Notification of Shortage/Damage

  • The Buyer shall inspect the Goods immediately upon receipt.
  • Any shortage, transit damage, defect, or discrepancy must be notified to the Seller in writing immediately upon delivery.
  • Failure to provide such written notification shall constitute acceptance of the Goods in good condition and in accordance with the invoice.

8. Returns

  • Goods once sold shall not be taken back or exchanged except where expressly approved in writing by the Seller.
  • Approved returns must be unused, in original condition, and accompanied by the relevant invoice.
  • Return freight and associated costs shall be borne by the Buyer unless the return is due to Seller error.

9. Warranty

  • Goods are subject only to the manufacturer’s warranty, where applicable.
  • The Seller makes no additional warranty, express or implied, and shall not be responsible for damage arising from misuse, improper storage, handling, or installation.

10. Limitation of Liability

  • The Seller’s liability, if any, shall be limited solely to replacement or refund of the defective Goods at the Seller’s discretion.
  • The Seller shall not be liable for any indirect, incidental, consequential, or business losses.
  • In all circumstances, liability shall not exceed the value of the Goods invoiced.

11. Retention of Title

  • Ownership of the Goods shall remain with the Seller until full payment of the invoice amount and all dues is received.
  • The Seller reserves the right to recover Goods for which payment is overdue.

12. Force Majeure

  • The Seller shall not be liable for any failure or delay in performance due to events beyond reasonable control, including but not limited to natural calamities, strikes, transport disruptions, governmental actions, or supply shortages.

13. Governing Law and Jurisdiction

  • These Terms and all transactions shall be governed by the laws of India.
  • All disputes shall be subject exclusively to the jurisdiction of the competent courts at Avinashi, Tamil Nadu only.

14. Entire Agreement

  • These Terms constitute the entire agreement governing the sale of Goods by the Seller and supersede any prior representations or understandings.
  • Any variation shall be valid only if made in writing and signed by the Seller.
